Carphone Warehouse has acquired the UK assets of Italian internet provider Tiscali for £236million.

The deal, which is expected to completed in June, will make Carphone subsidiary TalkTalk the UK's largest residential broadband provider with about 4.25 million subscribers.

David Ross, a cofounder of Carphone Warehouse, has resigned as a director of the mobile phone group.

He quit after it emerged he'd used a 15% stake to secure personal loans.

Ross said that between 2006 and 2008 he'd used 136.4m shares out of a total holding of 177.4m, or 19.4% of the company, as security against the loans.
